Terms of Service

These Terms of Service ("Terms") govern your access to and use of the InstituteOS School Management Software, APIs, applications, and websites (collectively, the "Services"). By accessing or using our Services, you represent that you have the authority to act on behalf of your educational institution ("Institution") and agree to be bound by these Terms.

1. License and Access

Subject to these Terms and the payment of applicable subscription fees, InstituteOS grants your Institution a limited, non-exclusive, non-transferable license to access and use the Services solely for internal educational and administrative purposes.

You agree not to:

  • Reverse engineer, decompile, or disassemble any aspect of the Services.
  • Attempt to bypass security constraints or access data belonging to other institutions.
  • Resell, sublicense, or distribute the Services to unaffiliated third parties.

2. Institutional Responsibilities

As the account owner, the Institution is solely responsible for:

  • Maintaining the accuracy and legality of the data entered into the system.
  • Managing role-based access controls and ensuring only authorized personnel have administrative privileges.
  • Protecting the confidentiality of all user login credentials.

3. Service Availability and Updates

We strive to maintain a 99.9% uptime for the Services. However, InstituteOS may occasionally require downtime for scheduled maintenance or critical updates. We will provide reasonable advance notice for planned downtime. We reserve the right to add, modify, or deprecate features within the Services periodically to improve overall functionality.

4. Fees and Payment

Access to InstituteOS requires an active subscription. Subscription fees are billed annually or monthly as agreed upon in your service contract. Failure to remit payment within 30 days of the invoice date may result in temporary suspension of Services until the balance is cleared. All payments are non-refundable except as explicitly stated in your service agreement.

5. Limitation of Liability

To the maximum extent permitted by law, InstituteOS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or operational continuity, arising out of or related to your use of the Services.

6. Changes to these Terms

We may update these Terms from time to time to reflect changes in our software or legal requirements. If a revision meaningfully reduces your rights, we will notify the primary administrative contact on your account at least 30 days before the changes take effect.
